                              CONSULTING AGREEMENT



         This  Consulting  Agreement (the  "Agreement") is entered into this 2nd

day of July, 2002 by and between Global Assets & Services,  Inc. (the "Company")

and M.A. Littman (The "Consultant").



         WHEREAS,  Consultant is skilled in providing  legal  services,  and has

provided legal services to Company in the past;



         WHEREAS,  the  Consultant is due  approximately  $61,037 as a result of

services rendered to the Company;
