GUARANTEE AGREEMENT, dated as of November , 2006, is executed and delivered by KEYCORP, an Ohio corporation (the Guarantor) having its principal office at 127 Public Square, Cleveland, Ohio 44114-1306, and DEUTSCHE BANK TRUST COMPANY AMERICAS, a New York banking corporation, as trustee (the Guarantee Trustee), for the benefit of the Holders (as defined herein) from time to time of the Capital Securities (as defined herein) of KEYCORP CAPITAL IX, a Delaware statutory trust (the Issuer Trust).
