Ladies and Gentlemen:
We have served as Maryland counsel to Bedford Property Investors, Inc., a Maryland corporation (the ?Company?), in connection with certain matters of Maryland law arising out of the registration by the Company of up to 805,000 shares (the ?Shares?) of 8.75% Series A Cumulative Redeemable Preferred Stock, par value $.01 per share (the ?Series A Preferred Stock?), of the Company, covered by the Registration Statement on Form S-3, as filed with the United States Securities and Exchange Commission (the ?Commission?) by the Company on or about the date hereof under the Securities Act of 1933, as amended (the ?1933 Act?) (the ?Registration Statement?). The Shares were issued pursuant to the Purchase Agreement, dated as of July 29, 2003, by and between the Company and RBC Dain Rauscher Inc. (the ?Purchase Agreement?).
