INDENTURE (this "Indenture"), dated as of _______ between RAIT
PARTNERSHIP, L.P., a Delaware Limited partnership, (the "Issuer"), having its
principal offices at 1818 Market Street, Philadelphia, Pennsylvania 19103 and
__________________________, a bank duly organized and existing under the laws of
___________________, as trustee hereunder (the "Trustee"), having its Corporate
Trust Office at ________________________.

RECITALS OF THE ISSUER

The Issuer has duly authorized the execution and delivery of this
Indenture to provide for the issuance of up to $300,000,000 of debt securities
(hereinafter called the "Securities") evidencing its unsecured and
unsubordinated indebtedness, bearing interest at the rates or formulas, maturing
at such times and having such other provisions as shall be fixed as hereinafter
provided.

Upon making the appropriate filings with the Securities and Exchange
Commission, this Indenture will be subject to the provisions of the Trust
Indenture Act of 1939, as amended, and the rules and regulations of the
Securities and Exchange Commission promulgated thereunder that are deemed to be
incorporated into this Indenture and shall, to the extent applicable, be
governed by such provisions.

All things necessary to make this Indenture a valid agreement of the
Issuer, in accordance with its terms, have been done.

NOW, THEREFORE, THIS INDENTURE WITNESSETH:

For and in consideration of the premises and the purchase of the
Securities by the holders thereof, it is mutually covenanted and agreed, for the
equal and proportionate benefit of all holders of the Securities, as follows:

ARTICLE ONE. DEFINITIONS AND OTHER PROVISIONS OF GENERAL APPLICATION

SECTION 101. DEFINITIONS. For all purposes of this Indenture, except as
otherwise expressly provided or unless the context otherwise requires:

(1) the terms defined in this Article have the meanings assigned to them
in this Article, and include the plural as well as the singular;

(2) all other terms used herein which are defined in the Trust Indenture
Act of 1939, as amended, either directly or by reference therein,
have the meanings assigned to them therein;

(3) all accounting terms not otherwise defined herein have the meanings
assigned to them in accordance with USGAAP (as such term is
hereinafter defined);

(4) the words "herein," "hereof," "hereto" and "hereunder" and other
words of similar import refer to this Indenture as a whole and not
to any particular Article, Section or other subdivision;

(5) the word "or" is always used inclusively;

(6) the word "including" is not limiting;

(7) references in this Indenture to any agreement, other document or law
"as amended" or "as amended from time to time," or to "amendments"
of any document or law, shall include any amendments, supplements,
replacements, renewals or other modifications from time to time,
provided in the case of modifications to documents, such
modifications are permissible under this Indenture; and

(8) references in this Indenture to any law include regulations
promulgated thereunder from time to time.

"Acquired Indebtedness" means Debt of a Person (i) existing at the time
the Person becomes a Subsidiary of or is merged with or into any other Person,
or (ii) assumed in connection with the acquisition of assets from the Person, in
each case, other than Debt incurred in connection with, or in contemplation of,
the Person becoming a Subsidiary or that acquisition. Acquired Indebtedness
shall be deemed to be incurred on the date of the related acquisition of assets
from any Person or the date the acquired Person becomes a Subsidiary of or is
merged with or into such other Person.

"Act," when used with respect to any Holder, has the meaning specified in
Section 104.

"Affiliate" of any specified Person means any other Person directly or
indirectly controlling or controlled by or under direct or indirect common
control with such specified Person. For the purposes of this definition,
"control," when used with respect to any specified Person, means the power to
direct the management and policies of such Person, directly or indirectly,
whether through the ownership of voting securities, by contract or otherwise;
and the terms "controlling" and "controlled" have meanings correlative to the
foregoing.

"Authenticating Agent" means any Person authorized by the Trustee pursuant
to Section 611 to act on behalf of the Trustee to authenticate Securities of one
or more series.

"Authorized Newspaper" means a newspaper, printed in the English language
or in an official language of the place of publication, customarily published on
each day that is a Business Day in the place of publication, whether or not
published on days that are Legal Holidays in the place of publication, and of
general circulation in each place in connection with which the term is used or
in the financial community of each such place. Whenever successive publications
are required to be made in Authorized Newspapers, the successive publications
may be made in the same or in different Authorized Newspapers in the same city
meeting the foregoing requirements and in each case on any day that is a
Business Day in the place of publication.

"Bankruptcy Law" has the meaning specified in Section 501.

"Board of Trustees" means the board of trustees of the Issuer or any
committee of that board duly authorized to act thereunder.
